Trusted Partner Agreement
& Culture Commitment

This Agreement sets out the expectations of participation in Business Unlimited Network and is intended to protect the relationships, culture, integrity and experience of the BUN community.

Businesses grow best when trusted people intentionally help one another succeed.

Becoming a Trusted Partner means more than joining a business networking organization. It means becoming part of a community where relationships, integrity, generosity, learning, collaboration and contribution matter.

We publish this Agreement so you can read it before you ever speak to us. Nothing here should be a surprise. The version you sign is sent to you separately as part of Trusted Partner onboarding, and includes your start date, renewal date, approved category and fee.

Part One

The Partnership and Our Culture

1

Your Trusted Partnership

Your Trusted Partnership is for a period of one year.

Your Start Date and Renewal Date are recorded in the agreement you sign at onboarding.

Your partnership includes access to the benefits outlined in Schedule A: Trusted Partner Benefits, together with other opportunities and resources BUN may introduce during the partnership period.

2

The BUN Culture

Every Trusted Partner helps create the experience of the people around them. We expect Trusted Partners to conduct themselves professionally, respectfully and ethically in all BUN-related interactions.

Our culture is guided by these principles:

Relationships Before Referrals

Build genuine relationships first. Business should grow naturally from trust rather than pressure.

Collaboration Before Competition

Look for opportunities to collaborate, share knowledge and contribute to the success of others.

Giving Before Receiving

Be willing to contribute without always expecting something in return.

Learning Before Leading

Remain curious, open to feedback and committed to personal and professional growth.

Trust Before Opportunity

Protect your reputation and the trust others place in you. Conduct yourself with honesty, integrity and professionalism.

3

Our Core Values

Trusted Partners agree to uphold the following BUN values:

Relationships First

People come before transactions.

Give Without Expectation

Look for opportunities to help others succeed.

Integrity Always

Be honest, ethical, dependable and professional.

Lifelong Learning

Remain open to new ideas, feedback and continuous improvement.

Community Impact

Look for ways to strengthen the community around you.

Celebrate Success

Support and celebrate the achievements of fellow Trusted Partners.

4

How We Expect Trusted Partners to Treat One Another

Trusted Partners are expected to:

  • Treat others with respect and professionalism.
  • Honour commitments and follow through on promises.
  • Communicate honestly and constructively.
  • Respect personal and professional boundaries.
  • Handle disagreements respectfully and directly whenever possible.
  • Avoid gossip, bullying, harassment, discrimination, intimidation or deliberately divisive behaviour.
  • Conduct business ethically and lawfully.
  • Protect confidential or sensitive information.
  • Avoid aggressive selling or repeatedly pressuring other Trusted Partners for business.
  • Avoid conduct that could reasonably cause serious harm to another Trusted Partner or to BUN.
  • Do not recruit other Trusted Partners into your business, downline, team, MLM, direct sales organization, or similar opportunity.
  • Trusted Partners may promote and sell their approved products or services, but BUN is not to be used to recruit other Trusted Partners into their business structure.
  • Contribute to an environment where people feel welcomed, valued, respected and supported.

We understand that people will occasionally disagree.

Conflict itself is not a violation of our culture. How people choose to handle conflict matters.

Part Two

Categories and Good Standing

5

Protected Business Categories

BUN operates using a Protected Business Category model. Only one Trusted Partner may hold a particular Protected Business Category within a specific BUN Community at one time.

Your approved category is recorded in the agreement you sign at onboarding.

Your Protected Business Category gives you exclusivity within that approved category in your designated BUN Community while your partnership remains active and in good standing.

It does not prevent another business from

  • Operating in the same industry.
  • Advertising or marketing its services.
  • Networking elsewhere.
  • Attending public BUN events.
  • Participating in another BUN Community where that category is available.

BUN may reasonably define, divide, combine or clarify business categories to reflect differences in services, licensing, markets or business models. If BUN proposes a category change that would materially affect an existing Trusted Partner, BUN will discuss the proposed change with that Trusted Partner before implementing it.

BUN retains final responsibility for determining category definitions and category eligibility. A Trusted Partner may not transfer, expand, change or add to their protected category without BUN’s approval.

Protected-category rights end when the Trusted Partnership ends or when the Trusted Partner is no longer in good standing.

6

Good Standing

A Trusted Partner is considered to be in good standing when they:

  • Have paid all partnership fees that are due.
  • Continue to meet the expectations in this Agreement.
  • Conduct themselves consistently with BUN’s culture and values.
  • Maintain an approved Protected Business Category.
  • Do not have an unresolved serious conduct issue.
  • Use BUN resources, branding and communities appropriately.

Where appropriate, BUN may temporarily suspend specific privileges while a serious issue is reviewed.

Part Three

Responsibility, Introductions and Risk

7

Your Business Remains Your Responsibility

Each Trusted Partner operates their own independent business or professional practice. Participation in BUN does not create an employment relationship, legal partnership, agency relationship, franchise or joint venture between BUN and a Trusted Partner.

Trusted Partners remain responsible for

  • Their own products and services.
  • Business decisions.
  • Licences and certifications.
  • Insurance.
  • Professional requirements.
  • Contracts.
  • Clients.
  • Taxes and financial obligations.
  • Representations made about their business.

BUN does not supervise, warrant or guarantee the work, advice, products or services of an individual Trusted Partner.

Status as a BUN Trusted Partner is not an endorsement, certification, accreditation, warranty or guarantee by BUN of that Trusted Partner or their business, products, services, qualifications, advice, conduct or results.

8

Trusted Introductions and Business Relationships

BUN creates opportunities for people to meet, build relationships, collaborate and make Trusted Introductions. A Trusted Introduction is an introduction based on relationship and trust. It is not a guarantee or warranty from BUN.

Each Trusted Partner remains responsible for their own due diligence before

  • Hiring another Trusted Partner.
  • Entering into a contract.
  • Purchasing a product or service.
  • Making an investment.
  • Forming a business partnership.
  • Referring a client.
  • Acting on professional advice.
9

No Guarantee of Business Results

BUN does not guarantee:

  • Referrals.
  • Introductions.
  • Customers.
  • Contracts.
  • Sales.
  • Revenue.
  • Investment opportunities.
  • Partnerships.
  • Any specific financial result.

The value each Trusted Partner receives will depend on many factors, including participation, contribution, professionalism, relationship-building and follow-through.

10

Limitation of Liability and Indemnification

Limitation of Liability

To the maximum extent permitted by applicable law, Business Unlimited Network, together with its founders, directors, officers, employees, contractors, representatives, affiliates and volunteers (collectively, the “BUN Parties”), will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, data or anticipated savings, arising out of or related to participation in BUN.

Without limiting the above, BUN is not responsible for losses arising from the acts or omissions of Trusted Partners, guests, venues, third-party service providers or technology platforms; reliance on introductions, referrals, statements, advice or information provided by another participant; business decisions made by a Trusted Partner; or interruptions, changes or unavailability affecting meetings, venues, community platforms or third-party services.

To the maximum extent permitted by law, the aggregate liability of the BUN Parties for any claim arising out of or relating to this Agreement or a Trusted Partnership will not exceed the amount of Trusted Partnership fees actually paid by the Trusted Partner to BUN for the then-current annual term.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited.

Indemnification

The Trusted Partner agrees to indemnify, defend and hold harmless the BUN Parties from and against third-party claims, demands, actions, liabilities, damages, losses, judgments, costs and reasonable legal expenses arising out of or related to:

  • The Trusted Partner’s business, products, services, professional advice, representations or business activities.
  • A breach of this Agreement or applicable law by the Trusted Partner.
  • The negligent, wrongful or wilful acts or omissions of the Trusted Partner.
  • The misuse of BUN branding, intellectual property, confidential information, personal information, community platforms or contact information.
  • Content, materials or information supplied by the Trusted Partner for publication, promotion or use by BUN.

This indemnity does not apply to the extent a claim is caused by the gross negligence or wilful misconduct of BUN.

Part Four

Privacy, Communication, Content and Branding

11

Confidentiality

Strong relationships require trust. Through BUN, Trusted Partners may learn confidential, private or commercially sensitive information about other people or businesses.

This may include

  • Business strategies.
  • Financial information.
  • Client information.
  • Personal information.
  • Internal business challenges.
  • Business plans.
  • Pricing strategies.
  • Proprietary processes.
  • Unreleased products or services.
  • Information shared during coaching or accountability conversations.

Trusted Partners agree not to intentionally disclose or misuse information that a reasonable person would understand was shared confidentially.

Information is not considered confidential if it

  • Is already publicly available.
  • Was already lawfully known by the Trusted Partner.
  • Was independently developed without using confidential information.
  • Was lawfully received from another source.
  • Must be disclosed by law or court order.

Nothing in this section prevents a Trusted Partner from confidentially speaking with their lawyer, accountant, financial advisor or other professional advisor.

BUN will also treat complaints and conduct concerns as privately as reasonably possible. However, information may be shared with people who reasonably need it in order to review, investigate, respond to or resolve an issue.

12

Privacy and Personal Information

BUN may collect personal information reasonably necessary to operate the community and provide Trusted Partner benefits.

This may include

  • Name.
  • Business name.
  • Contact details.
  • Business category.
  • Website and social media information.
  • Profile photographs.
  • Directory information.
  • Event registration information.
  • Community communication details.
  • Information voluntarily provided during participation.

BUN will collect, use and disclose personal information only for reasonable BUN purposes and in accordance with applicable privacy requirements. Trusted Partners will be provided with information about BUN’s privacy practices and relevant consent choices.

British Columbia’s Personal Information Protection Act generally requires organizations to limit collection, use and disclosure of personal information to appropriate purposes, and addresses consent and withdrawal of consent.

BUN will maintain a separate Privacy Notice & Media Preferences process for relevant consent choices.

13

Online Communities, Electronic Marketing and Communication

BUN may provide access to WhatsApp groups, online communities, discussion forums, Trusted Partner Hub resources, directories and other digital platforms. Trusted Partners agree to use these spaces respectfully.

They should not be used for

  • Spam.
  • Repeated unsolicited promotions.
  • Harassment.
  • Personal attacks.
  • Public disputes that would reasonably be better handled privately.
  • Sharing confidential information belonging to another person.
  • Illegal, deceptive, discriminatory or threatening content.

BUN may moderate or remove content where reasonably necessary to protect the community.

Electronic Communications and Marketing Compliance

BUN may communicate with Trusted Partners by email, SMS/text message, WhatsApp or other messaging applications, community platforms, telephone, or other electronic channels used to operate the Trusted Partnership.

Trusted Partners acknowledge that BUN may need to send service, administrative and transactional communications that are reasonably necessary to administer the Trusted Partnership, including meeting changes, payment notices, platform or security updates, policy notices and communications relating to the operation or safety of the community.

Where a message is a commercial electronic message subject to Canada’s Anti-Spam Legislation (CASL), BUN will send it only where permitted by law, including on the basis of valid express or implied consent or another applicable legal basis. Where required, BUN will identify the sender, provide required contact information, include a functioning unsubscribe mechanism and honour unsubscribe or withdrawal requests within the legally required period.

BUN may maintain records of consent, communication preferences, unsubscribe requests and other information reasonably necessary to demonstrate compliance with applicable electronic marketing and privacy laws.

Trusted Partners may update or withdraw optional marketing communication preferences at any time. Withdrawal from optional commercial or promotional communications does not prevent BUN from sending service or administrative communications that are reasonably necessary to administer the Trusted Partnership or otherwise permitted by law.

Access to a BUN directory, WhatsApp group, online community or other contact information does not itself constitute consent for a Trusted Partner to add another person to a marketing list or send unsolicited commercial electronic messages.

Trusted Partners who use contact information obtained through BUN for commercial electronic communications are responsible for ensuring that their own communications comply with CASL and any other applicable privacy, marketing or communications laws.

14

Photography, Video and Media

BUN gatherings may include event photography and video. Trusted Partners may appear incidentally in general photographs or video of group events.

BUN may use general event photography or video for

  • Social media.
  • Website content.
  • Event recaps.
  • Community promotion.
  • Marketing.
  • Public relations.
  • Educational content.

BUN will maintain a separate media preference or consent process where appropriate. For individual interviews, testimonials, podcast appearances or other content where a Trusted Partner is a primary subject, BUN will obtain appropriate consent.

15

Trusted Partner Content

Trusted Partners may have opportunities to contribute blog posts, presentations, videos, educational resources, templates, podcast interviews, testimonials, photographs and other original content.

Unless otherwise agreed in writing, a Trusted Partner retains ownership of original content they create.

When a Trusted Partner voluntarily gives content to BUN for publication or promotion, the Trusted Partner grants BUN a non-exclusive, royalty-free licence to reproduce, publish, display, distribute, promote and archive that content through BUN’s website, Trusted Partner Hub, social media, podcast, marketing and community platforms.

BUN will not sell or separately license a Trusted Partner’s original standalone content to an unrelated third party without additional permission.

Content previously published by BUN may remain in historical archives, past event materials, podcast libraries and existing social media posts after a Trusted Partnership ends, unless removal is required by law or separately agreed.

16

BUN Intellectual Property and Branding

The Business Unlimited Network name, logos, brand assets, proprietary programs, systems, training materials, templates and other BUN-created intellectual property remain the property of BUN or their respective rights holders.

While active and in good standing, a Trusted Partner may identify themselves as a Business Unlimited Network Trusted Partner.

Trusted Partners may not, without BUN approval

  • Alter the BUN logo or brand.
  • Create unofficial BUN Communities.
  • Create events or programs using BUN branding.
  • Represent themselves as an owner, employee, agent or official spokesperson for BUN.
  • Copy or distribute proprietary BUN materials outside their permitted use.
  • Use BUN intellectual property for unrelated commercial purposes.

When a Trusted Partnership ends, the individual must stop representing themselves as a current BUN Trusted Partner.

Part Five

Concerns, Suspension and Ending a Partnership

17

When There Is a Concern

BUN believes in communication and resolution whenever reasonably possible. For ordinary concerns, BUN will normally use the following process:

Step 1: Conversation

We will discuss the concern with the Trusted Partner and hear their perspective.

Step 2: Written Clarification

If the matter is significant or unresolved, BUN may provide written notice explaining the concern, the behaviour or issue that needs to change, and what is expected going forward.

Step 3: Opportunity to Resolve

Where reasonable, the Trusted Partner will be given an opportunity to correct the issue.

Not every concern requires all three steps. Serious circumstances may require faster action.

18

Suspension

If BUN reasonably believes a serious concern requires investigation or immediate protection of the community, BUN may temporarily suspend some or all participation while the matter is reviewed.

A suspension may include temporary loss of

  • Meeting access.
  • Community platform access.
  • Protected-category privileges.
  • BUN branding privileges.
  • Other community benefits.

A suspension is not automatically a termination.

19

When BUN May End a Trusted Partnership

BUN may suspend or end a Trusted Partnership where, acting reasonably and in good faith, BUN determines that the Trusted Partner has materially or repeatedly breached this Agreement or engaged in conduct that creates a serious risk to the integrity, reputation, safety or culture of the BUN community.

This may include

  • Fraudulent, dishonest or deceptive conduct.
  • Unscrupulous business practices.
  • Harassment.
  • Bullying.
  • Discrimination.
  • Threats or intimidation.
  • Serious or repeated violations of BUN values.
  • Deliberate misuse of confidential information.
  • Repeated harmful conflict.
  • Illegal activity connected to BUN participation or the Trusted Partner’s business.
  • Serious misrepresentation.
  • Aggressive or inappropriate solicitation.
  • Conduct that poses a significant risk to another Trusted Partner.
  • Serious misuse of BUN branding or intellectual property.
  • Recruiting or repeatedly trying to recruit other Trusted Partners into a business opportunity, downline, MLM, direct sales team, or similar structure.
  • Failure to reasonably address a serious conduct concern after notice.

For serious misconduct, BUN may immediately suspend or terminate a Trusted Partnership without completing the normal three-step process.

20

Refund if BUN Ends the Partnership

If BUN asks a Trusted Partner to leave before the end of the annual term, BUN will refund the unused portion of the annual Trusted Partnership fee on a pro-rata basis, calculated from the effective termination date.

This does not include separate payments for

  • Meals.
  • Events.
  • Workshops.
  • Masterminds.
  • Summits.
  • Coaching.
  • Products.
  • Travel.
  • Other separately purchased services.
21

If a Trusted Partner Chooses to Leave Early

The Trusted Partnership is based on a one-year commitment. If a Trusted Partner chooses to leave before their annual term ends, a refund is not automatically provided.

Before an early departure, Debbie, Jenny or another authorized BUN representative will request a conversation.

We want to

  • Understand why the Trusted Partner wants to leave.
  • Hear any concerns.
  • Determine whether an issue can reasonably be resolved.
  • Learn from the experience.
  • Explore whether another solution is appropriate.

BUN may choose to provide a refund or credit in exceptional circumstances. Any such refund or credit will be at BUN’s discretion unless required by applicable law.

Part Six

Benefits, Renewal and Fees

22

Partnership Benefits and Changes

The core benefits included with the Trusted Partnership at the start of the annual term are identified in Schedule A. BUN is an evolving organization, and we expect our systems and delivery methods to improve over time.

BUN may make reasonable operational changes during the annual term, including changes to

  • Meeting locations.
  • Technology platforms.
  • Communication platforms.
  • Meeting formats.
  • Trusted Partner Hub organization.
  • Scheduling.
  • Administrative procedures.
  • Delivery methods.

BUN may also add or improve benefits at any time.

Material Changes

BUN will not intentionally materially reduce the overall core value of the Trusted Partnership during an active annual term without reasonable notice.

If BUN permanently removes a material core benefit during an active annual term, BUN will use reasonable efforts to provide a reasonably comparable alternative. If no reasonably comparable alternative can be provided, the affected Trusted Partner may contact BUN to discuss an appropriate resolution, which may include a replacement benefit, account credit, other accommodation, or a pro-rata refund where reasonable.

Changes intended primarily for the next annual term will be communicated before renewal.

23

Renewal

Trusted Partnerships are established for one-year periods. Before the renewal date, Trusted Partners will have the opportunity to decide whether to continue for another annual term.

BUN also reserves the right not to offer renewal where there are reasonable concerns regarding

  • Good standing.
  • Alignment with BUN culture and values.
  • Unresolved conduct issues.
  • Protected Business Category eligibility.
  • Other material concerns affecting the community.
24

Partnership Fees

Partnership fees may change for future annual terms as BUN grows and evolves. If the annual Trusted Partnership fee will increase for the next term, BUN will give the Trusted Partner at least two months’ notice before the renewal date.

A fee increase will not change the fee already agreed to for the current annual term.

Your annual fee and payment option are recorded in the agreement you sign at onboarding.

Unless BUN agrees otherwise in writing, the Trusted Partnership is a one-year financial commitment. If an approved instalment plan is used, the remaining instalments for the annual term remain payable even if the Trusted Partner chooses to leave early, subject to Section 21, any written accommodation agreed by BUN, and applicable law.

Invoices and scheduled payments are due on the date stated on the applicable invoice or payment schedule. If a payment is declined, reversed or overdue, BUN may request prompt payment and may suspend some or all Trusted Partner privileges after reasonable notice while amounts remain outstanding.

Trusted Partnership fees are non-refundable except as expressly provided in Sections 20 and 21, agreed by BUN in writing, or required by applicable law.

The annual Trusted Partnership fee does not include separately priced meals, guest registrations, special events, workshops, masterminds, summits, coaching, travel, products or other separately purchased goods or services unless expressly stated.

Renewal is not automatic unless the Trusted Partner separately authorizes an automatic renewal arrangement in writing. BUN will not charge a renewal fee for a new annual term until renewal has been accepted or otherwise validly authorized.

25

Culture Comes Before Category

Holding a Protected Business Category is a privilege of Trusted Partnership. Protected category status does not override the cultural expectations in this Agreement.

Paying a partnership fee does not guarantee continued category protection if a Trusted Partner materially breaches the Agreement.

Protecting the culture and integrity of the community takes priority over protecting a business category.

26

General Legal Terms

Governing Law and Jurisdiction

This Agreement and the Trusted Partnership are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia. Each party attorns to the jurisdiction of the courts of British Columbia for any dispute arising out of or relating to this Agreement, subject to any rights or procedures that cannot lawfully be waived.

Entire Agreement

This Agreement, including Schedule A, Schedule B and any written fee, category or other terms expressly incorporated into it, constitutes the entire agreement between BUN and the Trusted Partner concerning the Trusted Partnership and supersedes prior discussions, representations, understandings or agreements concerning the same subject matter.

Amendments

Except for operational, benefit, renewal or fee changes expressly permitted by this Agreement, any amendment to this Agreement must be in writing and agreed to by BUN and the Trusted Partner. An amendment may be signed electronically.

Severability

If any provision of this Agreement is found to be invalid, illegal or unenforceable, that provision will be interpreted or limited to the minimum extent necessary to make it enforceable where possible, and the remaining provisions will continue in full force and effect.

Waiver

A failure or delay by BUN or a Trusted Partner to enforce any provision of this Agreement is not a waiver of that provision or of the right to enforce it later. A waiver is effective only if it is clearly made in writing by the party granting it.

Electronic Signatures and Counterparts

This Agreement may be signed electronically and in one or more counterparts. An electronic signature, including a signature applied through an electronic signature platform or other electronic method adopted by the signer for the purpose of signing, will have the same effect as an original signature to the extent permitted by law. Electronic copies and counterparts together form one agreement.

27

Trusted Partner Commitment

By signing this Agreement, I understand that becoming a Trusted Partner means more than paying a partnership fee.

I help create the BUN culture.

I agree to

  • Build relationships intentionally.
  • Treat people with respect.
  • Conduct myself with integrity.
  • Give before expecting to receive.
  • Collaborate rather than compete.
  • Remain open to learning and feedback.
  • Protect the trust others place in me.
  • Protect confidential information.
  • Contribute positively to my BUN Community.
  • Respect the Protected Business Category model.
  • Represent BUN professionally.
  • Help create an environment where other Trusted Partners can succeed.

I understand that my actions contribute to the experience of everyone around me.

The culture we build today becomes the community others experience tomorrow.
